Equipment Rental Contract Century Geophysical Corp.

This Contract is made and entered into, by and between, Century Geophysical Corporation, (hereinafter called "Century"), and Customer.

It is expressly understood and agreed that this is a contract of rental only, and that nothing contained in this agreement shall be construed as conveying to the Customer any right, title, or interest in the equipment, other than as a rental.

CONTRACT PRICE AND EQUIPMENT:
In consideration of the rental fees, as described in the attached Rental Quotation, the Customer shall have exclusive use of the listed equipment.

PREPARATION FEE:
All rentals are based upon a daily rate. An additional one time per rental preparation fee of $100.00 for each Computer, Drawworks, and Probe will be added to the first invoice of each rental. The preparation fee includes the cost of cleaning, testing, and re-calibration of each article prior to shipment to the Customer.

LONG TERM RENTAL DISCOUNT:
The rental rate for equipment on hire over 60 days shall be reduced to 70% of the standard rental rate for all days rent over 60 days. If the customer commits to a minimum rental period of 90 days or more the rental rate shall be 70% of the standard rate for the entire rental period.

PAYMENT TERMS:
See attached rental quotation. Customer is required to pay in advance all preparation fees and the minimum rental payment.

FREIGHT:
Shipment to customer will be made freight collect or prepaid through use of customer's account number for the desired carrier.

Customer shall return equipment in it's original packaging. Return shipments from customer are to be sent freight cost prepaid. All return shipments must be made "Door to Door" and "Free Domicile" including duties and taxes. Waybill must be marked "Free Domicile" including duties and taxes and Door to Door. Fax a copy of the waybill to Century immediately after shipment.

If for any reason it becomes necessary for Century to pay freight on behalf of the customer, the customer will be charged for such freight at 125% of Century's cost.

PERIOD OF AGREEMENT:
This rental agreement will commence on the day that the equipment is shipped by Century, and terminate on the day that it is received back by Century, at it's facility in Tulsa, Oklahoma, or other location as specified by Century. Minimum rental period is seven (7) calendar days in North America, and fourteen (14) calendar days outside North America (International). A two-day (domestic) or four-day (international) transit allowance will be allowed at the beginning and end of each rental, during which no rental will be charged. This period is provided to enable our Customers to take advantage of lower cost economy transportation rates and to offset the longer transportation times required for international shipments.

EQUIPMENT RECEIVED NOT WORKING:
If the rental equipment is not working when received by the Customer and Century is notified immediately, and the non-working equipment is shipped back to Century within 48 hours of receipt, there shall be no charge for the rental of the non-working equipment. Freight costs are the responsibility of the Customer in all cases.

EQUIPMENT FAILS WHILE ON RENT:
If the equipment is received by the Customer in working order and later fails during the rental period, the equipment rent will continue without discount and will not terminate until the day that it is received back at Century's Office, less the appropriate transit allowance. Subject to the availability of the rental item, Century will ship (at the Customer's expense) equipment to replace the failed item. When replacement equipment is provided there will be no additional rental fee provided the failed equipment is shipped to Century within 48 hours of the date Century ships the replacement item. If Century is able to provide the replacement equipment the rent will be continuous. If the broken equipment is not shipped within the 48 hour period, rent for both items will be charged from the date of shipment of the replacement item until receipt of the broken item at Century, less the appropriate transit allowance.

REPAIRS OF RENTED EQUIPMENT:
Should rental equipment fail during the rental period the Customer should return the item to Century's Tulsa office for repair. No charge will be made to the Customer for the repair of the rental item unless the item was damaged due to misuse or improper packaging. In spite of recommendations otherwise by Century, should the Customer elect to attempt to make repairs of rental equipment, he will be charged for Century's cost to repair any items which may be damaged by the Customer during his repair efforts. Any assistance to the Customer by Century, in the form of instructions, drawings, videos, trouble shooting procedures, etc. are provided to assist the Customer only and should NOT be interpreted as approval of the Customer's repair attempt. The Customer will be charged Century's standard repair rates should assistance be requested and rendered by Century's repair engineers or technicians. Additionally, parts requested by the Customer to facilitate repairs will be charged to the customer at Century's standard prices.

DEFAULT:
Should the Customer fail to return the equipment, Century maintains the right to enter upon the premises where the equipment may be, without notice, and take possession of and remove it at the Customer's expense, all without legal process, the Customer hereby waving any claims for damages from any such entry, taking, or removal.

In the event of a voluntary or involuntary petition for bankruptcy or receivership filed by or against the Customer, the rental agreement shall be terminated on the filing date, and the equipment shall be returned to Century, and all unpaid rents, fines, and fees shall be paid by Customer.

LOSS OF EQUIPMENT:
In the event the equipment is lost, stolen, damaged beyond repair, or abandoned in the borehole during logging, Customer is responsible for the full purchase cost of equivalent new equipment less, 25%, or any purchase credit accumulated, whichever is greater.

LOSS OF CABLE:
Customer agrees to return logging cable in good repair, and same length (allowing a one-time accident of 70 meters and a monthly removal of 15 meters for cableheading purposes), or reimburse Century to replace such cable to original length. Length determined by using 85.3 ohms per 1000 meters.

CARE OF EQUIPMENT:
Customer agrees to provide proper care of equipment and to return all equipment in good working condition at end of the rental period. Customer shall not perform any modifications, alterations, or changes to the rented equipment without prior written consent of Century. Any unauthorized modifications will be removed and equipment will be corrected to original status, at Customer expense.

PURCHASE OPTION:
Purchase credit of 50% of the rent paid per item, up to a maximum of 50% of the purchase price per item, shall be applied toward the purchase of the rented item, provided the purchase is exercised during the rental period. Purchased rental equipment will carry Century's standard one year warranty with the warranty period start date, back-dated to correspond with the start date of the rental period. If rent payments become 30 days past due or more, any accumulated purchase credit is lost. Once the account becomes current purchase credit will again accumulate.

INDEMNITY:
Customer agrees to hold Century not responsible for any damages to property or personnel, from use or misuse of the rented equipment and to comply with all laws, regulations, and ordinances, present and future, relating to the operation, and use of the equipment. Century is not responsible for delays in shipment including but not limited to customs delays, strikes, lockouts, etc., and will charge rental fee during such delays.

LOG INTERPRETATIONS:
Century assures that efforts are made to provide calibrated and accurate measuring devices. Quality control and other procedures are methods employed to provide accurate instrumentation to gather information. However, any interpretation of such information by Century employees, Customer employees, or other individuals (whether made directly from logs or by electronic data processing from actual or digitized log data) or any recommendations based upon such interpretations are opinions based upon inferences from electrical or other measurements and empirical factors and assumptions, which inferences are not necessarily infallible, and with respect to which wireline log analysts may differ. In addition such measurements may be affected by unknown conditions within the borehole or surrounding formation, causing such measurements to be invalid or speculative. Accordingly, in no event should any such interpretation or recommendation from such information be relied upon as the sole basis for any drilling, completion, treatment or production of a well, or development of a mine, or a decision concerning any procedure involving the safety of any persons or equipment.

OTHER:
Customer shall keep all equipment free and clear of any levies, liens or encumbrances.

Customer also agrees to comply with both the United States and International Copyright Treaty provisions concerning archiving and distribution of the logging software.

Century may terminate this agreement at any time for reasons of misuse or neglect of the equipment.
